Setting up a branch/representative office

Founder’s registration certificate, articles of association;
Details of the founder (company name, code, registered office address, full name, personal identification number of the director and/or board members representing the company, declared address of residence);
Details of branch/representative office (full name, personal code, residential address);
Name of the branch/representative office;
Address of the branch/representative office; Consent of the owner to provide premises for the headquarters of the branch/representative office is required: or a notarised consent, if the owner is a natural person; in the case of a legal person, the consent signed and stamped by the director; for mortgaged premises – the consent of the bank to which the premises are mortgaged;
Information on the type of activities of the branch/representative office.

Extract of the founder from the register of companies (an extract or other document confirming that a legal entity is registered in the register where the data on the founder are accumulated and stored, if extract is not issued in accordance with foreign laws);
Documents of incorporation of the founder (document of incorporation, memorandum of association and articles of association if these are separate documents, and amendments thereto);
Founder’s annual financial statements (founder’s financial statements for the last year and, where required by law, consolidated financial statements if such reporting is required by the laws of a foreign country applicable to the founder);
The data must also indicate who can transact on behalf of the legal entity and the type of the branch activities.
You may also need a license if the law requires the license to be issued before the establishment of a branch or representative office of a foreign legal entity or other organization (a license issued by the appropriate public authority).
All documents must be translated into Lithuanian and certified by the stamp of a translator.
